Statement from the Shareholder Communications Coalition regarding the SEC's proxy mechanics concept release |
|
The Shareholder Communications Coalition applauds today’s approval by the Securities and Exchange Commission (SEC) of a Concept Release on proxy voting and shareholder communications issues. Since 2005, the Coalition has advocated that the SEC undertake a comprehensive review of the proxy infrastructure that serves investors holding shares in more than 12,000 public companies.

Proxy Mechanics – Discussion Paper: Comparison of Existing and Proposed Market Mechanics |
|
In August of 2009 the Shareholder Communications Coalition authored a document detailing a number of recommendations to improve upon the existing proxy and communication processes (see "Recommendations for modernizing and reforming the current proxy system framework,” below).
Computershare and Georgeson support the Shareholder Communications Coalition and feel that a number of the changes for which the coalition is advocating will directly benefit issuers. To assist the coalition in explaining to regulators and other stakeholders the details how these proposed changes could be implemented, we developed a discussion paper to describe the existing system and provide a more complete understanding of the items under review in anticipation of the SEC’s concept release. |

Proxy Reform and Mechanics, the Conversation Grows |

On Nov. 3, a small group of leading corporate governance professionals in the US attended a panel discussion on proxy reform, focusing on the implications for their boards and how it will impact their companies’ shareholder outreach efforts. The conversation led to more questions and the panel reconvened on Dec. 1 to address all the issues.
The session was moderated by Brendan Sheehan, Executive Editor of Corporate Secretary magazine. The panelists were:
